Membership Terms & Conditions

The following terms and conditions govern your participation in the BAO Foot Spa Monthly Membership program. By purchasing, using, or maintaining a membership, you acknowledge that you have read, understood, and agreed to all terms set forth below. References to “you” and “your” mean the Member. References to “we,” “us,” and “our” mean BAO Foot Spa. This Agreement is a legally binding contract between you and BAO Foot Spa.
1. Eligibility and Identification
All memberships must be purchased and redeemed using a valid, government-issued photo ID. BAO Foot Spa reserves the right to refuse service if valid identification cannot be presented. Memberships are issued to a single individual. They are non-transferable, non-assignable, and may not be shared, sold, gifted, or used by any other person.
2. Locations
Memberships are valid at all current and future BAO Foot Spa locations unless otherwise stated in writing by BAO Foot Spa.
3. Membership Fees and Billing
Membership fees are billed automatically on a recurring monthly basis to the payment method on file. By enrolling, you authorize BAO Foot Spa to charge your selected payment method on a recurring basis until your membership is properly canceled in accordance with these terms. All membership fees are nonrefundable, including but not limited to unused treatments, unused discounts, promotional benefits, or rolled-over benefits.
4. Membership Cancellation
You may cancel your membership at any time. Cancellation requests must be submitted by email to memberships@baofootspa.com. Verbal, in-person, or third-party cancellation requests are not valid. Cancellation becomes effective only after written confirmation is issued by BAO Foot Spa. No refunds or prorated credits are issued for any billing period. Upon cancellation, all rolled-over benefits are immediately voided and expired. No unused or future benefits may be redeemed after the effective date of cancellation.
5. Delinquent Accounts
If a membership payment is delinquent for more than fourteen (14) days, BAO Foot Spa reserves the right, at its sole discretion, to cancel the membership. Any cancellation due to delinquency results in the immediate forfeiture and expiration of all rolled-over benefits.
6. Rollover Benefits
Classic, Premium, and Luxe memberships: unused monthly treatments and add-ons roll over and remain valid for as long as your membership is active and in good standing. There is no monthly or annual cap on rollover. Unlimited memberships: rollover does not apply, as the Unlimited tier provides unlimited treatments and add-ons each month. Rolled-over benefits are forfeited upon cancellation or termination of the membership as described in Sections 4 and 5. Rolled-over benefits will not be extended, restored, or refunded after a membership ends.
7. Treatment Redemption
Monthly membership treatments may be redeemed for the following services only: 30-minute reflexology, 45-minute reflexology, 60-minute reflexology, 30-minute whole body massage, 45-minute whole body massage, and 60-minute whole body massage. The following treatments are not eligible for redemption using monthly membership benefits: the 90-minute whole body massage and any Tailored Treatments. Monthly membership treatments may not be shared, gifted, or transferred under any circumstances.
8. Member Discounts
Membership discounts apply only to individual treatments and add-on services. Membership discounts do not apply to series packages or gift cards. Membership discounts cannot be combined with any other promotions, offers, or discounts.
9. Guest Usage
Members may apply their member pricing to guests only when the Member is present and receiving a service at the same appointment time. Monthly treatments, rollover benefits, and birthday treatments may not be used for guests.
10. Birthday Treatment
The complimentary birthday treatment must be redeemed within seven (7) days before or after the Member’s birthday. Birthday treatments do not roll over and expire automatically if not redeemed within the permitted window. Valid photo ID is required to redeem a birthday treatment.
11. Appointments, No-Shows, and Late Arrivals
All services are subject to availability and require an appointment. Late arrivals may result in reduced treatment time without adjustment or refund. Failure to show for a scheduled appointment may result in forfeiture of the associated membership treatment.
12. Automatic Renewal
BAO Foot Spa memberships are offered on an automatic renewal basis. By enrolling, you expressly consent to recurring monthly charges until you cancel in accordance with these terms. Memberships automatically renew each month, and your payment method on file will be charged the applicable membership fee unless you cancel. You may cancel your membership at any time. There is no minimum commitment period. By completing your membership purchase, you acknowledge that you have affirmatively agreed to the automatic renewal terms, recurring charges, and cancellation process described in this Agreement.
13. Changes to Membership Terms
BAO Foot Spa reserves the right to modify membership pricing, benefits, and terms at any time. Changes will be communicated in advance where required by California law.
14. Limitation of Liability
Member acknowledges and accepts all risks associated with spa treatments and services. To the fullest extent permitted by California law, BAO Foot Spa shall not be liable for indirect, incidental, or consequential damages arising from membership use or inability to redeem benefits.
15. Arbitration Agreement and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to this Agreement, your membership, or any services provided by BAO Foot Spa shall be resolved exclusively through final and binding arbitration administered in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You expressly waive any right to bring claims in a court of law or to have a jury trial. All disputes shall be brought on an individual basis only. You waive any right to participate in or bring a class action, collective action, private attorney general action, or any other representative proceeding against BAO Foot Spa. If any portion of this arbitration or class action waiver is found unenforceable, the remaining provisions shall remain in full force and effect.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
17. California Health Studio Act Disclosures
In compliance with California law, you may cancel this membership at any time. Cancellation shall be effective only as provided in Section 4 of these Terms. Membership fees already paid are nonrefundable as permitted by law once services or benefits have been made available. This membership does not obligate the Member for a fixed-term commitment and renews on a month-to-month basis until canceled. BAO Foot Spa does not diagnose, treat, cure, or prevent any medical condition. All services are provided for relaxation and wellness purposes only and are not a substitute for medical care.
18. Digital Consent and Electronic Signatures
You agree that enrollment, acknowledgment, or acceptance of these terms through electronic means, including online checkout, booking software, email confirmation, or digital signature platforms, constitutes a legally binding agreement equivalent to a handwritten signature. You consent to receive all notices, disclosures, agreements, and records electronically. BAO Foot Spa may rely on electronic records, timestamps, IP addresses, and transaction logs as evidence of acceptance.
19. Credit Card Processor Dispute Standards
In accordance with Visa, Mastercard, American Express, and Discover dispute guidelines, Member agrees to contact BAO Foot Spa directly and allow a reasonable resolution period prior to initiating any payment dispute. Member acknowledges that membership fees are charged in exchange for access to discounted pricing, benefits, and treatment availability, not solely for usage. Failure to redeem benefits does not constitute non-delivery of services. Member agrees that this Agreement, transaction receipts, and service records constitute valid proof of authorization and delivery for dispute resolution purposes.
20. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or representations, whether written or oral.
21. Acknowledgment and Acceptance
By purchasing a BAO Foot Spa membership, you acknowledge that you have read, understood, and agreed to all terms and conditions of this Agreement, including the automatic renewal provisions and the arbitration and class action waiver.
